By using the website or services of Onepoint Consult BV, the customer declares that he or she has read these general terms and conditions and accepts them expressly and without reservation.
These terms and conditions prevail over any terms and conditions of the customer, unless expressly agreed otherwise in writing.
TERMS AND CONDITIONS
1. Services and scope
Onepoint Consult BV provides professional services including, but not limited to:

administrative support
-
finance support (AP, AR, G/L)
-
credit control and receivables management
-
consultancy and temporary support in case of staff shortages
-
process optimisation and workflow improvement
-
back-office and operational support
The specific scope, duration, fees and responsibilities are always defined in a quotation, project proposal or written agreement.
Services not explicitly included are considered additional work and may be invoiced separately.
2. Performance of the services
Onepoint Consult BV undertakes to perform its services with professional care, discretion and expertise.
The client undertakes to:

provide accurate, complete and timely information, documents and access
-
validate decisions and approvals independently
-
comply with all applicable legal obligations
Onepoint Consult BV acts as a supporting and advisory partner and does not replace an accountant, tax advisor or legal representative, unless explicitly agreed otherwise in writing.
The client remains fully responsible for reporting, filings and final decisions at all times.
3. Pricing and invoicing
All fees are exclusive of VAT, unless explicitly stated otherwise.
Invoices are issued monthly or in accordance with the agreement.
Payment term: 7 calendar days from the invoice date.
Travel expenses are charged at €0.45 per kilometre, unless agreed otherwise in advance.
Additional costs (software, licences, tools) are charged only after prior approval by the client.
Onepoint Consult BV reserves the right to index fees annually, subject to prior notice.
4. Late payment and reminders
In the event of late payment, the following procedure applies:

In case of continued non-payment, the file may be transferred to a debt collection agency or bailiff.
All additional costs shall be entirely borne by the client.
Onepoint Consult BV reserves the right to temporarily suspend or permanently terminate services, without compensation.
5. Duration and termination
Unless otherwise agreed, a notice period of one (1) month applies for both parties.
All services already performed remain fully payable upon termination.
Onepoint Consult BV may terminate the cooperation unilaterally if:

contractual obligations are not respected
-
payments remain outstanding
-
the cooperation becomes commercially, legally or ethically untenable
6. Liability
Onepoint Consult BV provides support and advice without decision-making authority.
It shall not be liable for:

indirect or consequential damages (loss of profit, reputational damage, etc.)
-
errors or omissions in data provided by the client
-
damage caused by late or incomplete information
-
errors caused by external software, systems or third parties
In all cases, the total liability of Onepoint Consult BV is limited to the invoice amount of the month concerned, except in cases of intent or gross negligence as defined under Belgian law.
7. Intellectual property
All materials developed by Onepoint Consult BV (templates, workflows, reports, automations, documentation) remain its intellectual property, unless explicitly agreed otherwise in writing.
The client receives only a limited right of use during the collaboration and may not distribute, commercialise or reuse these materials without prior consent.
8. Confidentiality and GDPR
All confidential information is treated strictly confidentially and used solely within the scope of the assignment.
Personal data is processed in accordance with the GDPR (EU 2016/679) and the Privacy Policy of Onepoint Consult BV.
When working with third parties, Onepoint Consult BV always acts in compliance with applicable data protection legislation.
9. Force majeure
Force majeure refers to any event beyond the reasonable control of Onepoint Consult BV, including but not limited to illness, technical failures, cyber incidents, pandemics, fire, government measures or other force majeure situations.
In case of force majeure, performance may be temporarily suspended without compensation.
10. Website use and digital communication
The content of the website is provided for informational purposes and is subject to errors or changes.
Onepoint Consult BV does not guarantee uninterrupted availability of the website and is not liable for technical failures or external links.
11. Governing law and jurisdiction
These Terms and Conditions are governed exclusively by Belgian law.
Any disputes fall under the exclusive jurisdiction of the courts of the Antwerp judicial district (Turnhout division).
12. Amendments
Onepoint Consult BV reserves the right to amend these Terms and Conditions.
